- This update sets out arrangements for the 2026 ESPS Scheme AGM.
- The 2026 ESPS Scheme AGM will be held on Wednesday 18 November 2026 starting at 1:00 p.m. This will be a virtual meeting and the formal Agenda will be posted in early November 2026.
- The purpose of the ESPS Scheme AGM is to receive the ESPS Scheme Annual Report and Financial Statements 2025/26 and the Auditors’ Report, receive the report of the Scheme Trustee (EPTL), and conduct any general business.
Members have up to 28 days before the date of the ESPS Scheme AGM to submit a written resolution to the Scheme Secretary with a copy to the Company Secretary. Therefore, this year members will have until Wednesday 21 October 2026 to submit any written resolutions to the Scheme Secretary with a copy to the Company Secretary. Written resolutions can be submitted either by email or post (although as a safety net members may wish to send via both email and post) using the following contact details:

- Any ESPS Scheme AGM resolutions received will be subject to approval following advice from EPTL's legal advisers, Fieldfisher. The notice formally convening the meeting will be issued at the end of October/early November 2026 once any written resolutions received have been considered.
- A copy of the minutes of the 2025 ESPS Scheme AGM, excluding the names of the people who asked questions for data protection reasons, are available [HB1] on the ESPS website (click here to access these minutes).
- The software to be used for the virtual ESPS Scheme AGM can accommodate the expected level of attendance at the Scheme AGM, allows members to vote on any resolutions, allows questions to be asked by participants by typing these in, and is accessed online. A member without internet access could join by telephone and listen but would not be able to vote or ask questions – so online access is recommended and preferred. Anyone who wishes to attend the ESPS Scheme AGM virtually will need to provide contact details. This information will be held to allow the ESPS Scheme to contact you if arrangements are changed and will be dealt with in accordance with data privacy legislation. If there are any resolutions, the individuals proposing and seconding the resolutions will be able to speak using the virtual software.
- Members are reminded that, in order to exercise their vote on any resolution, they must be present at the meeting (including via electronic means).
- EPTL does not assume any responsibility for the accuracy of the information contained in Members’ resolutions. Members’ resolutions voted on and carried at the ESPS Scheme AGM do not have any power conferred upon them, and cannot instruct EPTL, Group Trustees, Employers, or others involved in the running of the ESPS Scheme.
